Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Fluxly ("Company," "we," "us," or "our") governing your access to and use of the Fluxly application, website at fluxlydating.com, and all related services (collectively, the "Service").

By accessing or using the Service, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

To use Fluxly, you must:

• Be at least 18 years of age
• Not be prohibited from using the Service under applicable law
• Not have been previously banned from the Service by Fluxly
• Not be a convicted sex offender

By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your eligibility at any time and to suspend or terminate accounts that do not meet these requirements.

Account creation: You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

One account per person: You may only create one account. Creating multiple accounts is prohibited and may result in all accounts being suspended.

Account security: Notify us immediately at [email protected] if you suspect unauthorised access to your account. We are not liable for any loss or damage arising from your failure to maintain account security.

Account deletion: You may delete your account at any time through Settings → Account → Delete Account. Upon deletion, your profile will be removed from the Service and your data will be handled in accordance with our Privacy Policy.

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

• Post false, misleading, or inaccurate information in your profile or messages
• Impersonate any person or entity, or misrepresent your identity or affiliation
• Harass, bully, intimidate, stalk, threaten, or harm any other user
• Post or transmit sexually explicit content involving minors
• Use the Service for commercial solicitation, spam, or advertising without our prior written consent
• Scrape, crawl, or systematically extract data from the Service
• Attempt to gain unauthorised access to any part of the Service or its related systems
• Use automated bots, scripts, or tools to interact with the Service
• Upload viruses, malware, or other harmful code
• Violate any applicable local, national, or international law or regulation

Your content: You retain ownership of the content you post on Fluxly (photos, bio, messages). By posting content, you grant Fluxly a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, adapt, publish, and display that content for the purpose of operating and improving the Service.

Content standards: You are solely responsible for the content you post. Content must not be illegal, offensive, defamatory, or infringe the intellectual property or privacy rights of any third party.

Fluxly's intellectual property: The Service, including its design, code, trademarks, logos, and all content created by Fluxly, is owned by or licensed to Fluxly and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Free tier: Basic features of Fluxly are available free of charge, including swiping, matching, and messaging.

Premium plans: Gold and Platinum subscriptions unlock additional features. Subscription fees are charged in advance on a monthly or annual basis as selected at purchase.

Payment processing: Payments are processed by Stripe. By subscribing, you authorise Stripe to charge your payment method on a recurring basis until you cancel.

Cancellation: You may cancel your subscription at any time through Settings → Subscription. Cancellation takes effect at the end of the current billing period; you will retain access to premium features until then.

Refunds: Subscription fees are generally non-refundable except where required by applicable law. If you believe you are entitled to a refund, contact us at [email protected] within 14 days of the charge.

Price changes: We may change subscription prices at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

Fluxly is committed to user safety. We encourage you to:

• Report abusive, fake, or suspicious profiles using the in-app report feature
• Never share financial information, passwords, or sensitive personal details with matches
• Meet new matches in public places for the first time
• Trust your instincts — if something feels wrong, block and report the user

We review all reports and may suspend or permanently ban accounts that violate these Terms. We cooperate with law enforcement when required.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THAT YOU WILL FIND A MATCH OR THAT ANY MATCH WILL RESULT IN A RELATIONSHIP.

FLUXLY IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE. YOU USE THE SERVICE AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLUXLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL FLUXLY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FLUXLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

You agree to indemnify, defend, and hold harmless Fluxly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or if required by law. Upon termination, your right to use the Service ceases immediately.

You may terminate your account at any time through the app. Termination does not entitle you to a refund of any fees paid, except as required by applicable law.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

Class action waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class or representative action.

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice in the app at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
